Jensen Huang Sells 45,728 NVIDIA Shares for $9.7 Million in Tax-Related Transaction

NVIDIA Chief Executive Officer Jensen Huang and other top executives have reported the sale of their holdings through transactions related to tax obligations, according to filings with the U.S. Securities and Exchange Commission (SEC). The sales were not voluntary reductions in equity but rather company-held withholdings during restricted stock unit (RSU) vesting periods for tax payments.
On March 16, Huang sold 45,728 shares at $212.17 per share, totaling approximately $9.7 million, as noted in the SEC filing with transaction code 'F' indicating tax-related withholdings. NVIDIA clarified that these transactions were for fulfilling tax obligations arising from RSU vesting, distinguishing them from regular market sales.
Other executives followed similar patterns: COO Debora Schuett sold 35,008 shares, General Counsel Timothee Tetter sold 35,738 shares, and CFO Coleen Kreiss separately conducted both tax-related and direct market sales. Kreiss sold 47,470 RSU-related shares for taxes on March 16 and an additional 34,918 shares across three transactions on March 17 at $218–$220 per share, totaling about $7.6 million in proceeds.
