Regulatory collaboration to supply tokenized U.S. stocks to overseas investors is accelerating. Prometheus announced that its subsidiary Prometheus Capital has entered into a binding memorandum of understanding with Hashi Digital Asset Group and Velocity Capital for the global distribution of tokenized U.S. stocks on October 16.

The agreement is built on SEC-registered broker-dealer infrastructure. Hashi will handle overseas distribution through licensed exchanges across multiple jurisdictions, while Prometheus Capital and Velocity Capital provide traditional securities custody, settlement, and clearing solutions to Hashi. Prometheus Capital is a FINRA-registered cryptocurrency custodian and clearing broker-dealer registered with the SEC. Velocity Capital holds SEC-registered FINRA membership as a broker-dealer with authority in traditional securities settlement and execution.

Aaron Kaplan, Founder and Co-CEO of Prometheus, stated: "U.S. stocks are among the most sought-after investment assets, and tokenization offers a scalable way to deliver them globally." He added that the agreement connects the world's largest capital market with overseas digital securities distribution through a regulatory framework trusted by U.S. markets.

Xiaopeng Hashi, CEO of Hashi Digital Asset Group, said: "This partnership expands Hashi's licensed infrastructure into a key opportunity in the digital asset market." He noted that regulated infrastructure backed by SEC-registered clearing will allow qualified customers across multiple jurisdictions to access tokenized U.S. stocks under applicable legal and regulatory requirements.

Roy Yan, CEO of Velocity Capital, emphasized: "For tokenized U.S. stocks to operate globally, underlying shares must be settled, cleared, and held to the same strict standards as tradable securities on regulated U.S. markets." He added that this collaboration demonstrates how traditional clearing capabilities can support emerging tokenized securities while maintaining operational standards expected by institutional clients.

Tokenized U.S. stocks will be issued as digital replicas of physical shares held in DTC, a subsidiary of DTCC. According to DTCC, DTC tokenized assets maintain investor protection and ownership rights similar to traditional securities while enhancing efficiency and programmability. The DTCC tokenization service is scheduled for release in Q4 2026.

The target securities include Russell 1000-listed companies (top 1000 U.S. listed firms by market capitalization), ETFs tracking major indices, and U.S. Treasury bills, notes, and bonds. The agreement comes amid growing global demand for tokenized U.S. stocks, as overseas investors face challenges accessing the deep and trusted U.S. stock market directly or cost-effectively.

Existing alternatives typically provide synthetic exposure to underlying securities rather than direct ownership, or rely on special purpose vehicles (SPVs) that represent claims against off-chain entities holding shares. This MOU establishes one of the first international distribution frameworks for physical tokenized U.S. securities—not synthetic or wrapped forms—aimed at global markets.

The companies plan to finalize contracts and complete technical integration within months, with a launch dependent on regulatory approval and successful tech integration. Pilot projects are also planned for the near future.
