Shangshan Gufen to Acquire AI Computing Equipment Firm for $110 Million

Shangshan Gufen (002870.SZ) plans to acquire 100% of AI computing equipment firm Wulaozhuhi for 800 million yuan. The transaction will add an AI computing equipment business to its existing automotive parts operations. Shangshan Gufen announced on the 14th that it will acquire Wulaozhuhi's shares through a combination of stock issuance and cash payment, while also raising additional funds for financing. The preliminary transaction value is 800 million yuan, with the counterparty being all shareholders of Wulaozhuhi. According to Huasheng Finance, Wulaozhuhi focuses on research, production, and sales of AI computing equipment. The counterparty has agreed that Wulaozhuhi's cumulative net profit after deducting non-recurring gains and losses for 2027-2029 will not fall below 400 million yuan. Specific transaction terms and schedules will be finalized in subsequent procedures.
