Stack BTC Pursues Acquisition of Precious Metals Dealer for Up to £12 Million

UK-based Bitcoin finance firm Stack BTC (STAK) is pursuing the acquisition of precious metals dealer Direct Bullion for up to £12 million. The company plans to utilize the target's operating cash flow within its Bitcoin financial strategy. According to a PANews report citing Aquis exchange announcement, the acquisition target is DB London Ltd, operated under the name Direct Bullion. Under non-binding terms, completion of the transaction would involve an upfront cash payment of £3 million and approximately £4 million in new shares, with an additional £5 million in performance-linked payments. The announcement specifies that the new share issuance price will be at least 6 pence per share, subject to a four-year lock-up period. Direct Bullion reported audited revenue of £52.1 million and post-tax profit of £2.15 million for its fiscal year ending January 31, 2026, with a three-year revenue growth rate of 288%. Aquis noted that the transaction qualifies as a reverse takeover and related-party transaction under Aquis Growth Market regulations. The deal requires completion of due diligence, formal contract signing, and approvals from Aquis and relevant companies.
