Winbond Acquires Infineon's NOR and F-RAM Business for $1.12 Billion

Winbond (2344) has announced it will acquire Infineon ($IFX)'s NOR flash and F-RAM business for $112 million in full cash payment. The company stated on the 16th that it has signed a share purchase agreement with an Infineon subsidiary to obtain 100% of the business. Infineon disclosed in its press release that the acquired business supplies NOR flash and F-RAM products for automotive, industrial, and infrastructure markets. Infineon noted the transaction is expected to be completed by the second half of 2027, subject to necessary regulatory approvals. Winbond plans to operate the acquired business under the 'Spansion' brand after closing. MoneyDJ cited Omdia data reporting that Winbond and Infineon held global NOR flash market shares of 23% and 11%, respectively, in 2025, totaling 34% when combined.
